Who can become a PALMED member?

Any Romanian legal entity or authorized natural person that manages and uses capital for the purpose of obtaining profit in competitive conditions and undertakes to comply with the Statute of the Employers’ Association may become a member of the Employers’ Association, having as its sole object of activity the provision of medical services covered by the following CAEN codes:

8610: Hospital care activities

8622: Specialized medical assistance activities

8623: Dental assistance activities

8690: Other activities related to human health

8710: Activities of medical care centers

8720: Activities of mental recovery and detoxification centers, excluding hospitals

8730: Activities of nursing homes and homes for people unable to care for themselves

8790: Other social assistance activities with accommodation, n.e.c.

8810: Social assistance activities, without accommodation, for the elderly and for people unable to care for themselves

8891: Day care activities for children

8899: Other social assistance activities, without accommodation, n.e.c.

The founding members of the Association are the signatories of the initial form of the statute. The founding members of the Association are legal entities or authorized individuals who participated in the establishment of the initial assets and in its founding, appearing as such in the articles of incorporation. In order to ensure the purpose for which they requested the registration of the employers’ association and to ensure, through their moral and professional profile, the growth of the association’s prestige, the founders are required to establish the founding social patrimony.

Adherent members are persons who join the Association after its legal establishment, under the terms of these Articles of Association. Any legally constituted legal entity/authorized natural person with full legal capacity and Romanian citizenship may become an adherent member.

Honorary members, at the proposal of the Board of Directors or the President of the Employers’ Association and with the approval of the General Assembly of Members of the Employers’ Association, legal entities or authorized natural persons, members or persons outside the Employers’ Association, who have professional and scientific achievements in the field of activity of the Employers’ Association or who, through their entire activity, have supported or support the Employers’ Association in achieving its purpose, may be honorary members.

Membership procedure

Membership of the Employers’ Association is acquired following the approval of the Board of Directors by persons who, fulfilling the above conditions, submit an express application to this effect and pay the registration fee.

Approval of the application for membership in the employers’ association is made by the Board of Directors, based on a report presenting a brief description of the future member, its position on the Romanian market, and any other elements that may influence the acceptance or rejection of the application, while informing all members of the employers’ association.

In the event of refusal by the Board of Directors, the interested party may appeal to the first session of the General Assembly, which will make a final decision in this regard. The application of the prospective member shall be accompanied by:

  • a photocopy of the articles of association/operating license or certificate of incorporation issued by the Trade Register in original,
  • copy of the certificate of registration in the Single Register of Medical Practices,
  • list of persons in management bodies/legal representative,
  • copy of proof of payment of the registration fee,
  • affidavit stating that it meets the legal conditions for operation.

Membership of the employers’ association cannot be transferred. New members are admitted to the employers’ association by signing a membership form, after its approval by the deliberative body, namely the Board of Directors.
